Terms & Disclosures
Last updated: November 5, 2026
Please read these disclosures carefully. They apply to this website, our calculators and estimators, applications, and communications about commercial financing options. They do not replace the terms of any written financing agreement or any disclosure required by law to accompany a specific offer.
About Synergy Capital
Synergy Capital is a New York City business funding broker that helps business owners explore commercial financing options. Financing, if arranged, is provided by Synergy Capital or its funding partners, subject to underwriting, eligibility, and executed agreements. Synergy Capital is not a bank and does not provide consumer or personal loans through this website.
No Offer, Commitment, or Guarantee
Nothing on this website constitutes an offer to lend, a commitment to extend credit or purchase receivables, a guarantee of approval, a guarantee of any funding amount, or a promise of any particular timeline or outcome. Each request is reviewed individually. Approval, denial, amounts, pricing, fees, collateral, guaranties, and other terms depend on underwriting criteria, the information you provide, and the policies of the applicable funding partner.
Merchant Cash Advances and Receivables Purchases
A merchant cash advance (MCA) and certain similar products are generally structured as a purchase of a portion of a business’s future receivables in exchange for an upfront purchase price. An MCA is not a loan and typically does not use a traditional interest rate. Pricing is often expressed with a factor rate (a multiplier), and remittances may be collected through scheduled ACH debits, a share of card sales, or another method described in the agreement.
- Factor rates are not APRs and are not interest rates.
- Total cost depends on the factor rate, fees, remittance method, and the time over which remittances are collected.
- Early payment may not reduce a fixed purchased amount unless the agreement expressly provides a discount.
- Read reconciliation, default, guaranty (performance or full personal), and security provisions carefully before signing.
Guaranties and Performance Guarantees
Select programs use an owner performance guarantee (also called a validity or performance guaranty) rather than a full personal guarantee of repayment. Availability is subject to qualification and underwriting.
A performance guarantee generally means the owner stands behind the merchant’s representations, warranties, and covenants in the agreement—examples can include providing accurate information, not diverting receivables, maintaining the designated deposit account for remittances, not blocking ACH debits, and not selling or transferring the business without required notice—rather than guaranteeing repayment of the purchased amount if the business slows or fails in the ordinary course without a breach. Enforcement is typically tied to default or breach events described in the agreement (such as fraud, false information, account switching, or other covenant violations). A full personal guarantee of repayment can make the owner personally liable for unpaid amounts even when the business’s receipts decline. Exact guarantee terms are set out in the funding agreement. This website does not provide legal advice and does not promise that any applicant will qualify for a performance-guarantee structure.
Calculators, Estimators, and Examples
Any calculator, estimator, range, example, scenario, or illustrative figure on this website is for educational and illustration purposes only. Results:
- are not offers, quotes, pre-approvals, or commitments;
- do not guarantee approval or any funding amount;
- may use simplified assumptions (including illustrative factor rates by term and approximate business-day or weekly payment counts); and
- may differ materially from any actual terms presented after underwriting.
Actual amounts, factor rates, interest rates (where applicable), fees, terms, remittance schedules, and payments are set by the funder after review of your business information and are confirmed only in written offer documents and agreements.
Timing Estimates
References to typical initial response times (such as within one hour) or potential approval and funding windows (such as 1–2 weeks) are estimates based on common experience and are not guarantees. Timing depends on the completeness of your application, document follow-up, product type, amount requested, and the funding partner’s process.
Commercial Finance Disclosures
Certain commercial financing offers are subject to state disclosure laws, including New York’s Commercial Finance Disclosure Law (Financial Services Law Article 8 and 23 NYCRR Part 600). Where those laws apply, required disclosures—such as an Offer Summary—are provided in connection with a specific commercial financing offer. Website content and calculator estimates are not a substitute for those offer-specific disclosures.
Product Availability and State Restrictions
Products, pricing, and terms are not available in all states or for all businesses. Availability depends on applicable law, the funding partner, and underwriting. We may decline to proceed where a product is restricted or unsuitable.
SBA Programs
Information about SBA loans describes programs that may be available through participating lenders. Synergy Capital is not the U.S. Small Business Administration, is not affiliated with or endorsed by the SBA, and does not guarantee SBA eligibility or approval. SBA-guaranteed loans are made by participating lenders, not by the SBA itself.
Applications and Credit Inquiries
Submitting an application does not obligate you to accept financing and does not guarantee approval. Applying involves a soft credit inquiry, which does not affect your credit score. A funding partner may perform additional verification, which can include a hard inquiry, before final approval. Synergy Capital or a funding partner may also obtain business information needed for underwriting.
Communications Consent
By providing a phone number, email address, or other contact information—or by submitting an application or contact request—you consent to be contacted by Synergy Capital and its funding partners regarding your inquiry or application by phone call, text message, email, or other means, including autodialed or prerecorded calls or messages where permitted by law. Message and data rates may apply. Consent is not a condition of applying for or obtaining financing. You may withdraw marketing consent as described in our Privacy Policy, subject to any communications required to service an active request or agreement.
Merchant Processing
Synergy Capital may help businesses explore merchant (credit and debit card) processing through processing partners and their sponsor bank(s). Synergy is not a bank and does not itself acquire card transactions. Rates, fees, equipment costs, funding schedules, and contract terms vary by business type, volume, card mix, and underwriting, and are subject to approval by the applicable processor and sponsor bank. References to affordable rates, low rates, low fees, or keeping more of your revenue are general and do not guarantee any specific rate, fee, or savings. Card brand names and marks are trademarks of their respective owners. Cash-discount, dual-pricing, and surcharge programs are subject to card-brand rules and applicable state law and may not be available in all locations or industries.
Educational Content Only
Articles, guides, FAQs, industry pages, and similar materials are provided for general educational purposes. They are not legal, tax, accounting, or financial advice and should not be relied on as a substitute for advice from qualified professionals familiar with your circumstances.
